1. Acceptance of Terms

By accessing and using SpeedXPCB's services, you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

2. Services Description

SpeedXPCB provides printed circuit board (PCB) manufacturing and assembly services including but not limited to:

• PCB fabrication and prototyping
• PCB assembly (PCBA) services
• Design for manufacturing (DFM) consultation
• Quality testing and inspection services
• Logistics and shipping services

3. Account Registration

3.1 Account Information

• You must provide accurate and complete information when creating an account
• You are responsible for maintaining the confidentiality of your account credentials
• You must notify us immediately of any unauthorized use of your account

3.2 Account Responsibilities

• You are responsible for all activities that occur under your account
• You must be at least 18 years old to create an account
• Business accounts must be authorized by the company they represent

4. Order Process and Terms

4.1 Quote and Pricing

• All quotes are valid for 30 days unless otherwise specified
• Pricing may be subject to change based on material costs and specifications
• Final pricing is confirmed upon order placement

4.2 Order Acceptance

• Orders are subject to our acceptance and production capacity
• We reserve the right to refuse orders that do not meet our capabilities
• Order confirmation constitutes acceptance of these terms

4.3 Payment Terms

• Payment is required before production begins unless credit terms are established
• We accept major credit cards, bank transfers, and other approved payment methods
• Late payment may result in order delays or cancellation

5. Intellectual Property

5.1 Customer IP Rights

• You retain all rights to your design files and intellectual property
• We will not share your designs with third parties without your consent
• Your files are stored securely and deleted after project completion unless requested otherwise

5.2 SpeedXPCB IP Rights

• Our manufacturing processes, techniques, and documentation remain our property
• You may not reverse engineer our processes or share our proprietary information
• Our website content, logos, and trademarks are protected by intellectual property laws

6. Quality and Specifications

6.1 Manufacturing Standards

• All products are manufactured according to IPC standards and your specifications
• We provide quality certificates and test reports as requested
• Products are inspected according to agreed-upon acceptance criteria

6.2 Design Review

• We provide design for manufacturing (DFM) review to identify potential issues
• Customer approval is required for any specification changes
• Final responsibility for design functionality remains with the customer

7. Delivery and Shipping

7.1 Delivery Terms

• Delivery dates are estimates and not guaranteed unless specifically agreed
• Shipping costs are additional unless included in the quote
• Risk of loss transfers to customer upon shipment

7.2 Delays

• We will notify customers of any potential delays as soon as possible
• Force majeure events may cause delays beyond our control
• We are not liable for consequential damages due to delivery delays

8. Warranty and Returns

8.1 Quality Warranty

• We warrant products to be free from manufacturing defects for 90 days
• Warranty covers replacement or refund for confirmed manufacturing defects
• Warranty does not cover design issues or normal wear and tear

8.2 Return Process

• Returns must be authorized and initiated within 30 days of delivery
• Products must be in original condition for return acceptance
• Customer is responsible for return shipping costs unless the return is due to our error

9. Limitation of Liability

9.1 Liability Limits

• Our liability is limited to the cost of the products or services provided
• We are not liable for consequential, indirect, or punitive damages
• Total liability shall not exceed the amount paid for the specific order

9.2 Indemnification

• Customer agrees to indemnify us against claims related to their designs or IP
• We will indemnify customers against claims related to our manufacturing processes
• Both parties will cooperate in defending against third-party claims

10. Confidentiality

10.1 Non-Disclosure

• We will maintain confidentiality of your proprietary information
• Customer information will not be shared with competitors or unauthorized parties
• Confidentiality obligations survive termination of this agreement

10.2 Data Protection

• We comply with applicable data protection regulations
• Customer data is stored securely and access is limited to authorized personnel
• Data retention policies are available upon request

11. Compliance and Regulations

11.1 Export Controls

• Customer is responsible for compliance with export control regulations
• We will provide necessary documentation for customs and export purposes
• Certain products may be subject to export restrictions

11.2 Environmental Compliance

• All products comply with RoHS and REACH regulations unless otherwise specified
• Material certificates and compliance documentation available upon request
• We maintain environmental management systems and certifications

12. Dispute Resolution

12.1 Governing Law

• These terms are governed by the laws of the jurisdiction where SpeedXPCB is incorporated
• Any disputes will be resolved through binding arbitration
• Legal proceedings must be conducted in English

12.2 Resolution Process

• Disputes should first be addressed through direct communication
• Mediation may be used before proceeding to arbitration
• Each party bears their own legal costs unless otherwise determined

13. Modifications and Updates

13.1 Terms Updates

• We reserve the right to modify these terms with 30 days notice
• Continued use of services constitutes acceptance of modified terms
• Significant changes will be highlighted and communicated clearly

13.2 Service Changes

• We may modify or discontinue services with reasonable notice
• Existing orders will be completed under original terms
• New service offerings may have additional terms and conditions

14. Termination

14.1 Account Termination

• Either party may terminate the relationship with 30 days written notice
• Outstanding orders will be completed unless otherwise agreed
• Payment obligations survive termination

14.2 Immediate Termination

• We may terminate immediately for breach of terms or illegal activity
• Customer may terminate immediately for material breach by us
• Data and files will be returned or destroyed as requested
